These Terms and Conditions ("Terms") govern the provision of testing services by Fire Test & Research Laboratory Private Limited ("FTRL", "we", "us") to clients ("you", "Client"). By engaging our services, you agree to these Terms.
1. Scope of Services
FTRL provides fire safety equipment testing services as described in individual quotations. Testing is conducted under ISO/IEC 17025:2017 accreditation in accordance with applicable standards. The scope of each testing program is defined in the accepted quotation.
Quotations are valid for 30 days from issue date. FTRL reserves the right to modify scope and pricing if requirements change after quotation acceptance.
2. Client Obligations
- Submit samples in accordance with provided guidelines and specifications
- Provide accurate product information, documentation, and test request forms
- Ensure compliance with shipping regulations for hazardous materials
- Make payment per agreed terms
- Inform FTRL of any known hazards associated with samples
3. Payment Terms
Testing fees are as specified in the accepted quotation. Payment is required before report issuance unless alternative terms are agreed in writing. We accept bank transfers, demand drafts, and online payment. Late payments may incur interest at 1.5% per month. All fees are exclusive of applicable taxes.
4. Sample Handling and Testing
Samples are received, logged, and stored per our ISO 17025 quality management procedures. FTRL exercises reasonable care in sample handling but is not liable for damage inherent to the testing process, including destructive testing required by standards.
Samples are retained for 30 days after report issuance. Collection is at Client cost. Uncollected samples after 30 days may be disposed of without further notice.
5. Test Reports
Reports are issued under our ISO 17025 accreditation and contain results of testing conducted in accordance with specified standards. Reports reflect conditions and results at the time of testing only.
Reports are the intellectual property of FTRL. Clients are authorized to use reports for their intended certification, regulatory, or business purposes. Reports shall not be altered, partially reproduced, or used in misleading contexts.
Corrections to issued reports follow our documented correction procedure. Duplicate reports are available at additional cost.
6. Confidentiality
FTRL treats all client information, sample details, and test results as confidential. Information is disclosed only to personnel directly involved in the testing program, accreditation bodies during assessments (as required), or when required by law.
Additional confidentiality agreements may be executed for R&D programs or sensitive testing.
7. Intellectual Property
Client retains all intellectual property rights in their products, formulations, and proprietary information. FTRL retains ownership of test reports, methodologies, procedures, and proprietary testing protocols.
Use of the FTRL name, logo, or accreditation mark is permitted only with written authorization and in accordance with our usage guidelines.
8. Liability and Indemnification
FTRL's liability for any claim arising from testing services is limited to the fees paid for the specific testing program. FTRL is not liable for indirect, consequential, special, or incidental damages.
Testing reports reflect laboratory results under controlled conditions and do not guarantee field performance. FTRL is not liable for product failures, certification denials, or business losses arising from test results.
Client indemnifies FTRL against claims arising from product defects, misuse of test reports, or failure to disclose known hazards.
9. Cancellation and Refunds
Client may cancel a testing program before testing begins, subject to administrative charges for work completed. Once testing has commenced, fees for completed portions are non-refundable.
FTRL may cancel testing if samples are unsuitable, safety concerns arise, or the program cannot be completed within our capabilities. In such cases, fees are refunded or credited for uncompleted work.
10. Force Majeure
Neither party shall be liable for failure or delay in performance due to circumstances beyond reasonable control, including natural disasters, pandemics, government actions, power failures, or equipment breakdowns requiring extended repair.
11. Dispute Resolution
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Delhi, India. Parties agree to attempt resolution through good-faith negotiation before pursuing legal remedies. Arbitration may be pursued under the Arbitration and Conciliation Act, 1996.
12. General Provisions
These Terms constitute the entire agreement between FTRL and the Client regarding testing services. Amendments require written agreement by both parties. If any provision is found unenforceable, remaining provisions continue in full force. Failure to enforce any provision does not waive the right to enforce it later. These Terms may not be assigned without written consent. Notices shall be sent to the addresses specified in the quotation or agreement.
